membership agreement & privacy policy

All Alliance members must agree to the Alliance Membership Agreement which is detailed in the ‘Terms & Conditions’ and ‘Code of Conduct’. Using the links below please ensure to read, download and save them for future reference. By ticking the box below, you are agreeing on behalf of your agency to the terms detailed in the Alliance Middle East Membership Agreement.

This Membership Agreement (“Agreement”) is entered into between:

Alliance of Independent Agencies Middle East LLC, a company duly incorporated in Meydan Free Zone, Dubai, United Arab Emirates, holding Trade Licence No. 2644739.01, with its registered address at Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, UAE (“Alliance Middle East”, “we”, “us”, or “our”);

AND

The agency or individual whose details are provided in the membership application and accepted by Alliance Middle East (“Member”).

This Agreement governs the Member’s participation in Alliance Middle East and is legally binding upon acceptance.

1. Acceptance and Legal Effect

1.1 This Agreement incorporates:

  1. These Terms and Conditions;
  2. The Code of Conduct;
  3. Any policies or guidelines issued from time to time.

1.2 Acceptance occurs upon:

  1. Submission of a membership application;
  2. Payment of membership fees;
  3. Electronic acceptance (including ticking an online acceptance box); or
  4. Accessing or using Membership benefits.

1.3 Electronic acceptance constitutes a legally binding contract under applicable UAE and DIFC law.

1.4 The Member warrants that:

  1. It has full legal authority to enter this Agreement;
  2. The individual accepting this Agreement is duly authorised to bind the Member.

2. Definitions

2.1 In this Agreement, unless the context otherwise requires:

2.2 Headings are for convenience only and shall not affect interpretation.

3. Membership Eligibility

3.1 Membership is limited to independent agencies that:

  1. Provide marketing, advertising, communications, creative, media, digital or related professional services; and
  2. Are at least 50% owned and/or management controlled by individuals actively involved in management

3.2 Acceptance is at the sole discretion of Alliance Middle East.

3.3 Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.

4. Term and Renewal

4.1 Membership is granted for an initial 12-month fixed term (“Initial Term”).

4.2 Membership shall automatically renew for successive 12-month periods unless the Member provides written notice of cancellation at least 30 days prior to the renewal date.

4.3 Alliance Middle East may issue renewal reminders prior to expiry.

4.4 Alliance Middle East may reassess eligibility upon renewal.

5. Fees, VAT and Payment

5.1 Membership fees are payable:

  1. Online at the time of application; or
  2. In accordance with the payment terms stated on the invoice or otherwise agreed in writing between the parties.

5.2 Fees are exclusive of VAT and any applicable taxes. VAT shall be added where required under applicable UAE law.

5.3 Annual Membership fees are payable in full in advance.

5.4 Where a monthly payment plan is offered, such arrangement does not reduce the Member’s obligation to complete the full twelve (12) month Membership Term.

5.5 Membership shall commence only upon receipt of cleared funds for the applicable initial payment, whether the full annual fee or the first monthly instalment. Onboarding, profile creation, access to events, training, community platforms, and all other Membership benefits shall only be activated following confirmed receipt of such payment.

5.6 Failure to make payment in accordance with the agreed payment terms constitutes a material breach and may result in:

  1. Suspension of Services and Membership benefits;
  2. Termination of Membership;
  3. Interest at twelve percent (12%) per annum or the maximum rate permitted by applicable law, whichever is lower, accruing daily until payment is received in full

6. Non-Refund Policy

6.1 Membership fees are non-refundable once the Membership Term has commenced, except where termination arises from material breach by Alliance Middle East.

7. Use of Membership Benefits

Membership benefits are:

  1. Personal to the Member;
  2. Non-transferable;
  3. Non-assignable;
  4. Revocable in case of breach.

8. Code of Conduct

Members must comply with:

  1. This Agreement;
  2. The Code of Conduct;
  3. All applicable UAE and DIFC laws.

Breach may result in immediate termination without refund.

9. Services Disclaimer

9.1 Alliance Middle East shall exercise reasonable skill and care in providing Services.

9.2 No guarantee is made as to commercial outcomes, profitability, or business success.

9.3 Services may be modified, enhanced, or withdrawn at reasonable discretion.

9.4 Failure by the Member to utilise Services shall not entitle the Member to any refund, credit, or compensation.

10. Events

10.1 Event access may be included in Membership or offered at preferential rates.

10.2 Attendance is subject to capacity, advance registration, and compliance with event-specific rules.

10.3 Alliance Middle East may amend, reschedule, or cancel events where reasonably necessary without liability.

11. Intellectual Property

11.1 All intellectual property remains the exclusive property of Alliance Middle East and/or its licensors.

11.2 No rights are granted except as expressly provided.

12. Data Protection & Privacy

12.1 Alliance Middle East acts as a Data Controller under UAE Federal Decree-Law No. 45 of 2021 (PDPL).

12.2 We process personal data for:

  1. Administering Membership;
  2. Delivering Services;
  3. Event registration;
  4. Billing and payment;
  5. Regulatory compliance;
  6. Marketing, where lawful.

12.3 Lawful basis for processing includes:

  1. Performance of contract;
  2. Legitimate business interests;
  3. Legal obligation;
  4. Consent, where required.

12.4 Categories of data collected may include:

  1. Name, title, contact details;
  2. Company details;
  3. Payment information;
  4. Event participation data.

12.5 Data may be shared with:

  1. Service providers;
  2. Event partners;
  3. Professional advisers;
  4. Regulatory authorities where legally required.

12.6 Personal data may be transferred outside the UAE where necessary for service delivery, subject to appropriate safeguards.

12.7 Data is retained only for as long as necessary for contractual, regulatory, and legitimate business purposes.

12.8 Members have the right to:

  1. Access their personal data;
  2. Request correction;
  3. Request deletion (where lawful);
  4. Object to certain processing;
  5. Withdraw consent (where applicable).

13. Termination

13.1 Alliance Middle East may terminate immediately for:

  1. Non-payment;
  2. Material breach;
  3. Conduct causing reputational harm;
  4. Insolvency.

13.2 Termination does not affect accrued rights.

14. Limitation of Liability

14.1 To the fullest extent permitted by DIFC Law, Alliance Middle East shall not be liable for indirect, consequential, incidental, or economic losses.

14.2 Liability shall not exceed the Membership fees paid during the relevant Membership Term.

14.3 Nothing in this Agreement limits liability for:

  1. Fraud;
  2. Wilful misconduct;
  3. Gross negligence;
  4. Liability which cannot lawfully be excluded.

15. Indemnity

The Member shall indemnify Alliance Middle East against claims arising from breach or misuse of Services.

16. Force Majeure

Neither party shall be liable for delay or failure due to events beyond reasonable control.

17. Amendments

Alliance Middle East may amend this Agreement by providing at least 30 days’ written notice. Continued Membership after that date constitutes acceptance.

18. Governing Law and Jurisdiction

18.1 This Agreement shall be governed by and construed in accordance with DIFC Law.

18.2 The Courts of the Dubai International Financial Centre (DIFC) shall have exclusive jurisdiction over disputes arising out of or in connection with this Agreement.

19. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes prior discussions or representations.
